Without the permission of the other party, neither party may reveal to a third party any contents of this agreement's clauses or the conditions of this contract's signing and execution, as well as any information obtained about the other party and its affiliated companies through signing and execution of this contract.

Article 11 Both Parties confirm that the obligations of confidentiality to be performed for the execution of this Contract are listed as follows

Party B shall pay Party A, within seven (7) days after the execution of this contract, Ten Thousand U.S. Dollars (US $ 10,000) as a deposit (the "Land Grant Fee"), which shall constitute part of the payment of the Land Grant Fee payable by Party B under this contract.

第九条 在本合同履行中，因出现在现有技术水平和条件下难以克服的技术困难，导致研究开发失败或部分失败，并造成一方或双方损失的， 双方确定，本合同项目的技术风险按 双方商定的方式认定。认定技术风险的基本内容应当包括技术风险的存在、范围、程度及损失大小等。认定技术风险的基本条件是：
Article 10 During the execution of this Contract, in the event that the technologies as the subject of RD has been disclosed by others (in the way of patented right), the party concerned shall notify the other party to cancel this Contract within 10 days. In case of failure in notification on schedule and causing loss to the other party, the other party shall have the right to request for compensation.
第十条 在本合同履行中，因作为研究开发标的的技术已经由他人公开（包括以专利权方式公开），一方应在 10日内通知另一方解除合同。逾期未通知并致使另一方产生损失的，另一方有权要求予以赔偿。
Should the effect of the force majeure continue for more than 120 Days, or should a new law be enacted that would affect either Party in execution of the Contract, both Parties shall settle the problem of further execution of this Contract through friendly negotiations as soon as possible.
若不可抗力事件影响时间长达120天以上，或所颁布的一项新法律会影响其中任何一方履行合同，则合同双方应尽快通过友好协商，解决继续履行本合同的相关问题。
Article 15 Both Parties hereby confirm that the software's copyrights and intellectual property rights of all RD results arising from the execution of this Contract shall be owned by Party A.
第十五条 双方确定，因履行本合同所产生的研究开发成果及其相关知识产权权利归属，按下列方式处理： 软件著作权、所有权归甲方所有。
All intellectual property rights subsisting in or used in connection with the Project, including all the documents and manuals relating thereto, and including all intellectual property rights owned by Party B prior to the execution of this Contract as well as all intellectual property rights acquired or created by Party B during the term of this Contract, are and shall remain the sole property of Party B and/or its possible licensor(s).

After the execution of this contract, if any change takes place in the relevant laws and regulations of PRC which is more favorable to the JV Company and the Parties than such laws or regulations in effect on the date of execution of this contract, the JV Company and the parties shall promptly apply to receive the benefits brought about by such change.
本合同签署后，如果中国的有关法律法规发生变化，且该变化较之本合同签署之日有效的有关法律法规对合营公司和双方更为有利，则合营公司和双方应立即申请获得该变化带来的利益。
In the event any dispute arises regarding the contents or execution of this contract, both parties shall conduct friendly negotiations.
